Grey Matters Health Inc. (GREY:CSE; AGNPF:OTCQB; AGW0:FRA) is a Canadian healthcare company planning to build a national network of brain-specific PET scanning clinics, targeting a US$9.2 billion Alzheimer's diagnostics market that is projected to reach US$10.2 billion in 2026. Each NovaScan Neuroimaging Clinic™ uses an FDA-cleared CareMiBrain scanner.
There are plans to scale to 200 locations nationally. Following its April 2026 rebrand from Algernon Health and a 10:1 share consolidation, the imaging clinic business is planned to be a near-term cash generator, with a legacy drug pipeline providing longer-term optionality.
In June of this year, Grey Matters closed a CA$1.25M private placement to fund its first U.S. clinic. In July, it took delivery of the first FDA-cleared CareMiBrain™ system for its Davie clinic, featuring brain-only imaging with 25% less radiation and a seated patient design.
On August 19, Grey Matters announced it has signed a professional services agreement with ProScan Reading Services, a nationally recognized neuroradiology firm, to interpret brain PET scans.
A day later, the company received its Radioactive Materials License from the State of Florida, which is the last major regulatory step needed for a clear path to scan the first patient by September 30. The charts show the bulls are taking control, and a revaluation of the company appears warranted.
Grey Matters announced on September 10, 2026, the closing of the first tranche (the "First Tranche") of its non-brokered private placement previously announced on August 20, 2026.
Gross Proceeds from the First Tranche total CA$600,000, consisting of CA$285,000 from the sale of 712,500 units at CA$0.40 and CA$315,000 from the sale of unsecured convertible debenture units.
Why Healthcare?
Investing in healthcare offers a unique combination of defensive stability and long-term growth potential, driven by essential, non-discretionary demand that remains resilient during economic downturns.
The sector has historically provided consistent earnings growth and lower volatility compared to broader markets, making it a critical tool for portfolio diversification and protection against inflation.

Fundamental Share Price Catalysts
- Davie Clinic Opening (Q3 2026): The first U.S.-dedicated brain PET clinic is imminent, with major licenses secured and the CareMiBrain system installed. The company says its scans are covered by Medicare, Medicaid, and private insurance, with a minimum reimbursement figure of US$4,500 per scan cited in its investor materials.
- Catalyst MedTech Partnership: Catalyst MedTech is the exclusive U.S. distributor of CareMiBrain under a more than CA$4 million supply, financing, and services agreement with the company.
- PET Scans: Separately, Grey Matters signed a non-binding LOI for an Alzheimer's clinical trial at a planned second location in Tampa. The non-binding LOI for a minimum of 200 PET scans could provide an initial revenue opportunity if converted into a definitive services agreement.
- 200-Clinic U.S. Network: Management plans a national network of 200 NovaScan locations, each requiring approximately US$1.1 million in capital. Partnerships with GE HealthCare (tracer supply) and ProScan Reading Services (radiology interpretation) de-risk operational execution.
- Structural Demand Tailwind: Two FDA-approved monoclonal antibody treatments for Alzheimer's require a positive beta-amyloid PET scan before therapy can begin, creating a durable, growing demand driver. Approximately 158 Alzheimer's drug candidates are currently being evaluated in clinical trials, creating a potential market for brain PET imaging services as drug programs advance.
- Legacy Drug Pipeline: Repirinast (NP-251) for chronic kidney disease and a proprietary DMT program for stroke/TBI recovery remain active, alongside a 20% equity stake in Seyltx (Ifenprodil for chronic coughs).
Grey Matters Versus Competitors
- Large imaging networks: RadNet (RDNT:NASDAQ) offers PET/CT as one service among many, but Grey Matters' brain-dedicated, seated-patient, lower-radiation model is a differentiated experience no large network currently offers.
- Regional PET specialists: The PET Imaging Institute of South Florida operates in the Fort Lauderdale/Hollywood area but uses conventional PET/CT equipment. Grey Matters says its Davie Clinic will be the first in the U.S. to offer brain-dedicated PET scanning using the CareMiBrain system
- Academic medical centers: Massachusetts General Hospital and peers set clinical standards for amyloid PET, but their research-focused model makes them poorly positioned as accessible, patient-friendly outpatient clinics, which is the gap Grey Matters is built to fill.

Figure 3: Grey Matters Versus CDNX Chart

Technical Analysis and Observations:
- Grey Matters is a CDNX component stock. Money managers look for stocks that can outperform the index, and Grey seems ready to do that now.
- There's a bull wedge, and it's morphed into a rectangular base pattern.
- Stochastics is on a buy signal.
Investor Risks
- Execution & Capital: The company is pre-revenue with a ~CA$5.4 M market cap; the Davie clinic must open on schedule and generate patient volume. US$220M+ capital is needed for a 200-clinic rollout.
- Dilution: Ongoing private placements and warrant issuances could continue to dilute existing shareholders as the company funds each new clinic.
- Concentration & Competitive Entry: The imaging business is heavily dependent on a single partnership (Catalyst MedTech) and a single platform (CareMiBrain); established imaging networks could replicate the brain-specific PET model once the market validates the concept.
- Professional Advice: Before taking action with any investment, investors should consult with properly licensed, experienced, and qualified investment advisors and get numerous opinions. Failure to do so increases risk.
Investment Thesis Summary
- First-Mover Advantage in U.S. Brain-Dedicated PET: Grey Matters is building the first network of purpose-built brain PET clinics in the U.S., with no direct competitor currently offering a seated, lower-radiation, brain-only scanning experience at scale.
- Structural Demand Tailwind: Two FDA-approved Alzheimer's monoclonal antibody treatments require confirmation of beta-amyloid pathology by brain PET or another approved biomarker method, such as cerebrospinal fluid testing, before treatment. The growing Alzheimer's drug-development pipeline could create additional demand for PET-based patient screening and clinical-trial imaging.
- De-Risked Near-Term Path to Revenue: The Florida Radioactive Materials License, CareMiBrain scanner delivery, ProScan reading agreement, and the separate 200-scan Catalyst MedTech LOI for the planned Tampa location collectively advance the company toward its first patient and subsequent clinic expansion.
- Scalable Unit Economics: Each clinic is expected to generate revenue from eligible PET scans reimbursed by Medicare, Medicaid, and private insurers.
- Additional Optionality from Legacy Pipeline: Repirinast for CKD, the DMT program for stroke/TBI, and a 20% equity stake in Seyltx (Ifenprodil for chronic cough) provide upside beyond the imaging core at no incremental cost to shareholders.
- Bullish Charts: Charts for the global healthcare sector and Grey Matters are both bullish.
Conclusion
Grey Matters has cleared major hurdles, including licensing and clinical LOI. Potential patient revenues by September 30 are a near-term catalyst. Two FDA-approved Alzheimer's therapies require confirmation of beta-amyloid pathology by brain PET or spinal tap before treatment, and the growing Alzheimer's drug-development pipeline could create additional demand for PET-based screening and clinical-trial imaging.
Grey Matters is positioned at the intersection of that demand with a differentiated, lower-radiation, seated-patient experience that no large network currently offers. Even partial execution of the 200-clinic plan transforms this pre-revenue company into a national diagnostics platform, and the bullish stock charts imply a significant re-rating of the company could be imminent.
